1. Agreement to Terms

Welcome to EnDevSols Private Limited ("EnDevSols," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website (endevsols.com) and services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

2. Services Overview

EnDevSols provides custom software development and AI solutions, including:

  • Custom Business Chatbot Development
  • AI-Powered SaaS Solutions
  • Deep Learning Technologies
  • Natural Language Processing (NLP) Services
  • Computer Vision Solutions
  • Custom Software Development

3. Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Represent a legitimate business or organization (for B2B services)
  • Provide accurate and complete information

4. Account Registration

4.1 Account Creation

If you create an account:

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities under your account
  • You must notify us immediately of unauthorized access

4.2 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent activity
  • Remain inactive for extended periods
  • Pose security risks

5. Service Engagement Process

5.1 Initial Consultation

  • Free initial consultation to discuss your requirements
  • Non-binding discussion of project scope and feasibility

5.2 Proposal and Agreement

  • We provide a detailed proposal including scope, timeline, and pricing
  • Services begin upon acceptance of the proposal and execution of a Service Agreement
  • Specific terms may be outlined in separate Master Service Agreements (MSAs) or Statements of Work (SOWs)

5.3 Project Execution

  • We deliver services according to agreed timelines and specifications
  • You provide necessary information, access, and feedback in a timely manner
  • Changes to scope require written approval and may affect pricing and timeline

6. Payment Terms

6.1 Pricing

  • Pricing is specified in individual proposals or service agreements
  • Prices are in USD unless otherwise specified
  • Prices do not include applicable taxes

6.2 Payment Schedule

Typical payment structure:

  • Upfront Payment: 30-50% upon project commencement
  • Milestone Payments: As specified in the agreement
  • Final Payment: Upon project completion and delivery

6.3 Payment Methods

We accept:

  • Major credit cards (Visa, Mastercard, American Express)
  • Bank transfers
  • PayPal
  • Other methods as agreed

6.4 Late Payments

  • Invoices are due within 15 days of issuance unless otherwise specified
  • Late payments may incur a 2% monthly interest charge
  • We reserve the right to suspend services for overdue accounts

6.5 Taxes

You are responsible for all applicable taxes, duties, and governmental charges.

7. Intellectual Property Rights

7.1 Client-Owned IP

Upon full payment:

  • You own the final deliverables created specifically for your project
  • We transfer ownership of custom code and designs as specified in the agreement

7.2 EnDevSols-Owned IP

We retain ownership of:

  • Pre-existing code, libraries, and frameworks
  • General methodologies, processes, and know-how
  • Any work not specifically created for your project

7.3 License to Pre-Existing Tools

We grant you a perpetual, non-exclusive license to use any of our pre-existing tools, libraries, or frameworks incorporated into your deliverables.

7.4 Third-Party Components

  • Some deliverables may include open-source or third-party components
  • These are subject to their respective licenses
  • We will disclose such components in project documentation

7.5 Portfolio Rights

We reserve the right to:

  • Display your project in our portfolio (with your permission)
  • Use anonymized case studies for marketing purposes
  • Reference you as a client (with your permission)

You may request confidentiality, which we will honor.

8. Confidentiality

8.1 Confidential Information

Both parties agree to protect confidential information including:

  • Business strategies and plans
  • Technical specifications and code
  • Financial information
  • Trade secrets
  • Customer data

8.2 Obligations

  • Maintain confidentiality during and after the engagement
  • Use confidential information only for the purposes of the project
  • Not disclose to third parties without written consent
  • Return or destroy confidential information upon request

8.3 Exceptions

Confidentiality does not apply to information that:

  • Is publicly available
  • Was known prior to disclosure
  • Is independently developed
  • Must be disclosed by law

9. Warranties and Disclaimers

9.1 Our Warranties

We warrant that:

  • Services will be performed with reasonable skill and care
  • Deliverables will substantially conform to agreed specifications
  • We have the right to provide the services
  • Our work will not infringe third-party intellectual property (to our knowledge)

9.2 Warranty Period

  • Bug fixes and corrections: 30-90 days after delivery (as specified in agreement)
  • Does not cover issues caused by modifications made by you or third parties

9.3 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • Services will be uninterrupted or error-free
  • Results will meet your expectations
  • All errors will be corrected
  • The services will achieve specific business outcomes

10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE THAT GAVE RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE CLAIM.

10.2 Excluded Damages

WE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Damages arising from third-party claims

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.3 Exceptions

Limitations do not apply to:

  • Gross negligence or willful misconduct
  • Fraud
  • Death or personal injury caused by our negligence
  • Violations of applicable law where limitations are prohibited

11. Indemnification

11.1 Your Indemnification

You agree to indemnify and hold harmless EnDevSols from claims arising from:

  • Your use of our services in violation of these Terms
  • Your violation of laws or third-party rights
  • Content, data, or materials you provide
  • Your breach of confidentiality

11.2 Our Indemnification

We will indemnify you against claims that our deliverables infringe third-party intellectual property rights, provided you:

  • Notify us promptly of the claim
  • Give us control of the defense
  • Cooperate with our defense efforts

12. Term and Termination

12.1 Term

These Terms remain in effect while you use our services.

12.2 Termination by You

You may terminate:

  • By completing or canceling all active projects
  • By providing written notice

12.3 Termination by Us

We may terminate or suspend services if you:

  • Violate these Terms
  • Fail to make payments
  • Engage in harmful or illegal activities
  • Provide false information

12.4 Effect of Termination

Upon termination:

  • Outstanding payments become immediately due
  • We will deliver work completed up to termination date
  • Confidentiality obligations survive
  • You must cease using our services and deliverables (if applicable)

12.5 Cancellation Policy

  • Before Work Begins: Full refund minus 10% administrative fee
  • Work in Progress: You pay for work completed; we refund remaining amount
  • After Delivery: No refunds unless deliverables fail to meet agreed specifications

13. Refund Policy

13.1 Eligibility

Refunds may be issued if:

  • Deliverables materially fail to meet specifications (documented in writing)
  • We are unable to complete the project
  • Both parties mutually agree to termination

13.2 Non-Refundable

No refunds for:

  • Change of mind or business direction
  • Work already completed and delivered
  • Third-party costs incurred (licensing, APIs, hosting)
  • Services rendered according to specifications

13.3 Process

  • Submit refund request to info@endevsols.com
  • Include detailed explanation and supporting documentation
  • We review within 10 business days
  • Approved refunds processed within 30 days

14. Client Responsibilities

You agree to:

  • Provide timely access to necessary systems, data, and personnel
  • Respond to requests for information within agreed timeframes
  • Review and approve deliverables in a timely manner
  • Ensure you have rights to any materials you provide
  • Maintain appropriate backups of your data
  • Comply with all applicable laws and regulations

Delays caused by failure to meet these responsibilities may affect timelines and pricing.

15. Acceptable Use Policy

You agree NOT to:

  • Use services for illegal or unauthorized purposes
  • Violate any laws or regulations
  • Infringe intellectual property rights
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt our services
  • Misrepresent your identity or affiliation
  • Use services to harm others or compete with us

16. Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or restrictions
  • Pandemics or health emergencies
  • Power outages or telecommunications failures
  • Strikes or labor disputes

Obligations are suspended during force majeure events. If the event continues for more than 60 days, either party may terminate without penalty.

17. Dispute Resolution

17.1 Informal Resolution

Before formal proceedings, parties agree to attempt good-faith negotiation for 30 days.

17.2 Mediation

If negotiation fails, parties agree to mediation before a mutually agreed mediator.

17.3 Arbitration

If mediation fails, disputes will be resolved through binding arbitration in accordance with the rules of the International Chamber of Commerce (ICC).

17.4 Governing Law

These Terms are governed by the laws of Pakistan, without regard to conflict of law principles.

17.5 Jurisdiction

For matters not subject to arbitration, parties consent to the exclusive jurisdiction of courts in Attock, Punjab, Pakistan.

18. Modifications to Terms

We may modify these Terms at any time by:

  • Posting updated Terms on our website
  • Notifying you via email (if you have an account)
  • Displaying a notice on our website

Material changes take effect 30 days after notice. Continued use constitutes acceptance.

19. General Provisions

19.1 Entire Agreement

These Terms, together with any Service Agreements, constitute the entire agreement between parties.

19.2 Severability

If any provision is found invalid, the remaining provisions remain in effect.

19.3 Waiver

Failure to enforce any provision does not constitute a waiver.

19.4 Assignment

You may not assign these Terms without our written consent. We may assign to affiliates or in connection with a merger or acquisition.

19.5 Independent Contractors

Parties are independent contractors, not partners or agents.
